  • articles of association covering basic pre-emption rights, director issues, electronic attendance at meeting

Annual Compliance £500 + VAT

  • Provision of registered office address
  • Annual return filing
  • Provision of a company secretary (if required)
  • Maintenance of the company’s statutory registers

Companies will be formed with the actual directors and shareholders at the outset – no nominees are required.  This removes the requirement to effect a transfer of shares from a nominee after the company is formed.  This should assist the company when opening a bank account as beneficial ownership of the company will be much more apparent to banks dealing with anti-money laundering and client identity proceedings and should reduce any possible delays as actual shareholdings are already established.
